Terms and Conditions

Last updated: 1 November 2026

These Terms and Conditions apply when you use thryveapex.com and when you buy services from us. Please read them before you start a project. By using the website or accepting a quote, you agree to them.

1. Who we are

Thryve Apex is a brand used by Shariq Shaikh, an independent professional who provides digital services as a freelance practice from Hyderabad, Telangana, India. Thryve Apex is not a registered company or LLP. In these pages, “Thryve Apex”, “we”, “us” and “our” mean Shariq Shaikh trading as Thryve Apex, together with the professionals he engages to deliver work.

2. Using this website

  • You may read and share our content for personal or internal business use, with a link back. Don’t copy substantial parts, misuse our forms, send spam, or try to disrupt or gain unauthorised access to the site.
  • The website’s text, design, graphics, images and the Thryve Apex name and logo belong to us unless stated otherwise.
  • Links to other websites are for convenience; we are not responsible for their content or practices.

3. Information, prices and results

  • Information on this website is general and may change. It is not legal, tax or financial advice.
  • Prices are shown in US dollars as starting prices and typical ranges. They are not offers. The price for your project is the one in our written quote or proposal.
  • Results and case studies describe past work and are not a promise of future results. Search rankings, ad performance, app store approval and AI answers depend on third parties we don’t control.

4. Quotes and agreements

Each project or engagement is set out in a written quote, proposal or statement of work (the “Proposal”) covering scope, deliverables, price, timeline and payment terms. Your acceptance in writing, including by email or by paying an advance, forms a contract under the Indian Contract Act, 1872. If the Proposal and these terms differ, the Proposal wins. Work outside the agreed scope is quoted separately before we do it.

5. Your responsibilities

  • Give us accurate information, content, feedback and approvals on time; delays on your side can move the timeline.
  • Give us access by adding us as a user on your accounts. Keep domains, hosting, app store, ad and analytics accounts in your own name.
  • Make sure you have the rights to any content, logos or data you give us, and that your business, products and ads comply with the law where you operate.

6. Fees, payment and taxes

  • Payment schedules are set in each Proposal. Projects usually start after an advance; the rest is due at agreed milestones or on delivery. Monthly services are billed in advance.
  • Invoices are payable within the time shown on the invoice. We may pause work while an invoice is overdue.
  • Ad spend, hosting, domains, software licences, paid plugins and apps, AI usage, app store fees and other third-party costs are paid by you directly or reimbursed at cost.
  • Prices exclude taxes. Applicable taxes are charged as Indian law requires. Each party bears its own bank and currency transfer charges.

7. Refunds and cancellation

See our Refund and Cancellation Policy.

8. Ownership and licences

  • Once you have paid in full, you own the final deliverables we create specifically for you, including code, designs and content.
  • We keep ownership of our pre-existing tools, templates, know-how and general methods, and give you a permanent licence to use any of them included in your deliverables.
  • Third-party and open-source components remain under their own licences.
  • We show client work in our portfolio only with your permission. Under an NDA, we don’t name you or show your work.

9. Confidentiality

Both sides keep each other’s non-public business information confidential and use it only for the project, during the engagement and after it ends. We sign a separate NDA on request before you share your idea.

10. Warranty and support

For projects that include a launch, we fix bugs in our work reported within 30 days of launch at no charge. This does not cover new features, changes you or others make, or problems caused by third-party services, plugins, hosting or platform updates. Ongoing support is available under a maintenance plan.

11. Limitation of liability

  • We provide services with reasonable skill and care. Apart from that and anything stated in the Proposal, we give no other warranties to the extent the law allows.
  • Neither side is liable for indirect or consequential losses, including lost profits, revenue, data or business opportunity.
  • Our total liability for any project is limited to the fees you paid us for that project, or for monthly services, the fees paid in the 3 months before the claim.
  • Nothing in these terms limits liability that cannot be limited under Indian law, including for fraud.

12. Ending an engagement

Either side may end an engagement as set out in the Proposal, or with 30 days’ written notice for monthly services. Either side may end it immediately if the other seriously breaches these terms and doesn’t fix the breach within 15 days of notice. You pay for work done up to the end date, and we hand over completed work once paid.

13. Independent contractor

We work as an independent contractor. Nothing in these terms creates employment, partnership or agency between us. We may engage other professionals to deliver work and remain responsible for their work.

14. Force majeure

Neither side is responsible for delays caused by events outside its reasonable control, such as natural disasters, epidemics, war, government action, internet or power failures, or outages at major platforms.

15. Governing law and disputes

These terms are governed by the laws of India. We will first try to resolve any dispute by good-faith discussion within 30 days. If that fails, the dispute will be settled by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in Hyderabad, Telangana, in English. Subject to this, the courts at Hyderabad, Telangana have exclusive jurisdiction. Nothing here limits any rights you have under the Consumer Protection Act, 2019.

16. General

These terms, together with any Proposal and NDA, are the whole agreement between us. If any part is invalid, the rest still applies. They are an electronic record under the Information Technology Act, 2000 and need no signature. We may update these terms; the version in force when you accepted a Proposal applies to that project.
